License Terms

These License Terms apply to digital products purchased from 2DLiveModel Studio, including Live2D VTuber models, animated backgrounds, accessories, graphics, and other downloadable assets.

By purchasing, downloading, or using a product from our store, you agree to these License Terms and any additional terms stated on the applicable product page.

1. License Grant

Unless otherwise stated on the product page, each purchase grants the buyer a limited, non-exclusive, non-transferable license to use the purchased product in accordance with these terms.

The license permits use of the product but does not transfer copyright, authorship, intellectual property ownership, or ownership of the original character design, artwork, rigging, animation, source files, or other included assets.

All rights not expressly granted remain with 2DLiveModel Studio, the credited artist, the credited Live2D rigger, or the applicable rights holder.

2. Permitted Uses

Unless otherwise stated on the product page, you may:

  • Use the purchased VTuber model for livestreaming, gaming, video creation, social media content, performances, and other personal content.
  • Monetize content created using the purchased model through advertisements, subscriptions, donations, memberships, sponsorships, and platform revenue.
  • Use the model as your online avatar, streaming persona, or virtual character.
  • Use included backgrounds and accessories in livestreams, videos, social media posts, and other content associated with your virtual activities.
  • Make minor personal adjustments supported directly within VTube Studio, such as approved color changes, parameter adjustments, and use of compatible accessories.
  • Create screenshots, thumbnails, promotional graphics, clips, and videos featuring the model.
  • Commission additional artwork, outfits, accessories, or compatible assets for personal use, provided the commissioned work does not redistribute or expose the original product files.

3. One Purchase, One User

Unless otherwise stated, one purchase grants usage rights to one individual user or one creator identity.

You may not:

  • Share the product with friends, team members, collaborators, agencies, or other users.
  • Allow multiple unrelated creators to use the same purchased model.
  • Upload the files to a shared team folder or public cloud folder.
  • Transfer the license to another person without written permission.

A manager, editor, or technical assistant may access the files only when necessary to provide services directly for the licensed user. They may not keep, reuse, distribute, or independently use the files.

4. Premade VTuber Models

Premade VTuber models are generally non-exclusive unless the product page specifically states otherwise.

This means:

  • The same model may be purchased and used by multiple customers.
  • Other users may stream or create content using the same character design.
  • Purchasing a premade model does not grant exclusivity.
  • Purchasing a premade model does not remove it from the store.

You may personalize the model through permitted VTube Studio settings, accessories, branding, personality, name, lore, and content style.

You may not claim exclusive ownership of a non-exclusive premade character design.

5. Exclusive VTuber Models

A model listed and sold as exclusive is licensed to only one purchaser after the completed sale, subject to the terms stated on the product page.

Unless otherwise stated, purchasing an exclusive model:

  • Grants exclusive usage rights to the purchased model.
  • Includes the layered PSD source file.
  • Does not automatically transfer copyright ownership.
  • Does not automatically include the Live2D .cmo3 source file unless specifically stated on the product page.
  • Does not give permission to resell, redistribute, share, sublicense, or transfer the files.
  • Does not give permission to convert the model into a non-exclusive, mass-distributed, or resale product without a separate written commercial license.

The product page may be removed or marked as sold after purchase. 

6. Animated Backgrounds and Digital Assets

Animated backgrounds, stream assets, accessories, overlays, and graphics may be used in:

  • Livestreams
  • Monetized videos
  • Social media content
  • Stream layouts
  • Personal promotional materials
  • Virtual performances

You may not:

  • Resell or redistribute the original files.
  • Upload the assets as downloadable resources.
  • Include the original files in another commercial asset pack.
  • Claim the asset as your own original creation.
  • Sell modified versions that are substantially based on the original asset.
  • Provide the files to clients unless the applicable license expressly permits client use.

7. Modifications

You may make reasonable modifications for your own licensed use when the product format allows it.

Permitted modifications may include:

  • VTube Studio color adjustments
  • Parameter settings
  • Compatible VTube Studio accessories
  • Personal hotkey changes
  • Minor personal-use edits
  • Commissioned additions that do not redistribute the original files

Modifying a product does not give you copyright ownership over the original work.

You may not distribute, sell, share, or sublicense modified versions of the product.

8. Source Files

Unless specifically listed on the product page, purchases do not include:

  • Original PSD files
  • Live2D .cmo3 files
  • Working project files
  • Unmerged artwork files
  • Layered source illustrations
  • Rigging source files
  • Editable animation project files

The presence of a runtime model file does not imply that the corresponding source files are included.

Source files may be available separately through an additional license, custom agreement, or additional fee.

9. Commercial Use

Standard commercial use allows monetized content featuring the product, including:

  • Livestream revenue
  • Video advertisements
  • Platform subscriptions
  • Donations
  • Sponsorships
  • Membership content
  • Social media monetization

Standard commercial use does not include:

  • Reselling the product files
  • Creating merchandise using the original character artwork
  • Selling prints, clothing, stickers, figurines, or other merchandise featuring the design
  • Using the character as the primary branding of a third-party company
  • Licensing the character to another business
  • Using the model in commercial software, games, applications, AI products, or interactive services
  • Creating mass-produced derivative products

These uses require separate written permission or an expanded commercial license.

10. Merchandise

Merchandise rights are not included unless expressly stated on the product page or granted in writing.

Before producing or selling physical or digital merchandise featuring the character artwork or design, you must obtain written permission from 2DLiveModel Studio or the applicable rights holder.

Examples include:

  • Prints
  • Posters
  • Apparel
  • Stickers
  • Keychains
  • Acrylic stands
  • Plush products
  • Digital sticker packs
  • Commercial emotes
  • Collectible products

Personal, non-commercial items made only for your own use may be permitted, provided they are not sold or distributed.

11. Artificial Intelligence and Machine Learning

Unless expressly permitted through a separate written license, you may not use the product or any included files for:

  • AI model training
  • Machine-learning datasets
  • Generative AI development
  • Image-generation training
  • Voice or animation model training
  • AI avatar platforms
  • AI chatbot characters
  • Interactive AI companions
  • Automated content-generation systems
  • Dataset collection, scraping, or benchmarking

You may not upload the model artwork, textures, source files, previews, or downloadable files to an AI service for training, replication, or model development.

Ordinary software features that do not train on, reproduce, or redistribute the work may be reviewed separately upon request.

12. Prohibited Uses

You may not:

  • Resell, redistribute, share, trade, gift, or upload the product files.
  • Sell or transfer your store account to give another person access to the files.
  • Claim the artwork, character design, rigging, or animation as your own creation.
  • Remove or falsify artist or rigger credits.
  • Upload the files to public repositories, asset libraries, marketplaces, or file-sharing websites.
  • Extract textures, artwork, expressions, animations, or components for separate redistribution.
  • Convert the files into another format for resale or sharing.
  • Use the product to create competing downloadable products.
  • Sublicense the product to another individual, business, agency, or organization.
  • Use stolen, refunded, fraudulently obtained, or chargeback-associated files.
  • Use the product in unlawful, defamatory, fraudulent, hateful, or intentionally harmful activities.
  • Use the product in a manner that falsely suggests endorsement by 2DLiveModel Studio or the original creators.

13. Credit

Credit is appreciated and may be required where stated on the product page.

Recommended credit format:

Artist/Rigger: [credited creator, when applicable]

You may link to the store or the applicable product page.

You may not claim that you personally created the original artwork or Live2D rigging unless you actually did so.

14. Refunds and Digital Downloads

Because products are delivered digitally, customers are responsible for reviewing the product description, compatibility information, included files, and license terms before purchasing.

Refund eligibility is governed by the store’s Refund Policy and applicable consumer law.

Downloading, accessing, or using a product may affect refund eligibility.

A refund, cancellation, reversed payment, or successful chargeback terminates the associated license. After termination, the customer must stop using the product and delete all copies in their possession or control.

Important refund limitations should be shown clearly before purchase rather than buried inside long legal text. FTC guidance emphasizes that important online terms should be clear and conspicuous.

15. Compatibility

Customers are responsible for checking compatibility before purchasing.

Unless otherwise stated:

  • Live2D models are intended for use with VTube Studio.
  • Some models may require desktop hardware for full performance.
  • Mobile devices may have texture-size or performance limitations.
  • Product performance may vary depending on the customer’s device, camera, tracking setup, software version, and system configuration.

Compatibility with every device, platform, plugin, or third-party application is not guaranteed.

16. Updates and Technical Support

Unless otherwise stated, a purchase includes the files available at the time of purchase.

We may provide updates, corrections, replacement files, or limited technical support at our discretion.

The license does not guarantee:

  • Permanent software compatibility
  • Future feature updates
  • Custom modifications
  • Installation services
  • Third-party software support
  • Ongoing storage or unlimited redownload access

Customers should securely store their purchased files and maintain personal backups.

17. License Violations

Violation of these terms may result in:

  • Termination of the license
  • Loss of access to files or services
  • Refusal of future purchases or commissions
  • Takedown notices
  • Reports to marketplaces, platforms, payment providers, or hosting services
  • Legal action where appropriate

Termination of a license does not require a refund.

After termination, the user must immediately stop using the product and delete all copies.

18. Product-Specific Terms

Individual product pages may include additional or different license conditions.

Where product-specific terms conflict with these general License Terms, the product-specific terms apply to that product.

Custom commissions, full commercial licenses, copyright transfers, source-file purchases, and corporate licenses may be governed by separate written agreements.

19. Changes to These Terms

We may update these License Terms from time to time.

Changes apply prospectively unless otherwise required by law. The version displayed at the time of purchase generally governs that purchase, together with any product-specific terms presented at checkout or on the product page.
